ELPRIME CLOCK PRO
SOFTWARE LICENSE AGREEMENT

1. License Terms and Restrictions. You, the licensee, are not authorized and agree not to:
(a) install and use Elprime Clock PRO, except as provided in this agreement;
(c) reverse engineer, decompile, modify, clone, emulate or disassemble, otherwise reverse engineer Elprime Clock PRO;
(b) rent, lease, loan, transfer, sublicense, sell or resell Elprime Clock PRO without written permission from copyright holder;

Further, the scope and duration of your license is restricted as follows:

EVALUATION LICENSE

The trial version of this software may be used for evaluation purposes for a period of 30 days from the date of installation. At the end of the trial period, the user must either purchase a license to continue using the software, or remove it from his/her system.

You can freely distribute the Elprime Clock PRO as long as you distribute the complete installation package without changing. No person or company may charge a fee for the distribution of Elprime Clock PRO without written permission from the copyright holder.

SINGLE-USER LICENSE

1. A Single-User License is subject to all terms of this agreement, with the exception of the evaluation restrictions in the paragraph above. With a single-user license, Elprime Clock PRO maybe used solely by licensee and may not be used concurrently by licensee and different individuals. A single licensed copy of Elprime Clock PRO which is used by a different individual than the licensed user, must be licensed with a separate license for each user that can access and operate Elprime Clock PRO.

2. ELPRIME CLOCK PRO IS DISTRIBUTED "AS IS". NO WARRANTY OF ANY KIND IS EXPRESSED OR IMPLIED. ELPRIME SOFTWARE, INC. WILL NOT BE LIABLE FOR DATA LOSS, DAMAGES, LOSS OF PROFITS OR ANY OTHER KIND OF LOSS WHILE USING OR MISUSING THIS SOFTWARE.

3. By uploading, posting, submitting or sending any information, documents, skins or other material ("Material") to Elprime Software, Inc. you hereby:

(a) declare such Material is not confidential, secret or proprietary information belonging to someone else;

(b) grant Elprime Software, Inc., its affiliates, successors, parent subsidiaries, assigns, assignees, licensees, legal representatives, ("Elprime Software, Inc.") the irrevocable, perpetual, worldwide right and license to use, reproduce, edit, market, store, distribute, have distributed, publicly and privately display, communicate, link to, publicly and privately perform, transmit, have transmitted, create derivative works based upon and promote the Material (as such may be edited and modified by Elprime Software, Inc. in its discretion) through the Elprime Software Web site and such other products or services as Elprime Software, Inc. may designate from time to time in any medium now known or hereafter devised, for editorial, commercial, promotional and all other purposes. While you retain ownership of all right, title, and interest you may have in the Material itself, you agree that Elprime Software, Inc. owns all right, title, and interest in any compilation, collective work or other derivative work created by Elprime Software, Inc. using or incorporating the Material;

(c) acknowledge that you are solely liable for any damage resulting from infringement of copyrights, proprietary rights or any other intellectual property rights, or any other harm or damage arising from your submission and Elprime Software's display of the Material. You hereby hold Elprime Software, Inc. harmless from and against any claim arising from use of the Material, including any third party claim; Elprime Software, Inc. reserves the right and the sole discretion to refrain from publishing on the Elprime Software Web site and delete or remove from the Elprime Software Web site, any Material posted, uploaded, submitted, sent, provided for display or transmitted by any user or any part thereof;

4. All rights not expressly granted here are reserved by Elprime Software, Inc.

5. The terms of this license are subjects of changes in future versions of Elprime Clock PRO.

Installing and using Elprime Clock PRO signifies acceptance of these terms and conditions of the license.
